Anthropic Files Its S-1, Setting Up a Nasdaq IPO Under the Ticker ANT

The filing is on SEC EDGAR. Share count and price range aren't set yet, and the registration isn't effective, so no shares are on sale.

Anthropic, the company behind Claude, has filed to go public. Its announcement says that on October 26, 2026, Anthropic, PBC filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for a proposed initial public offering of its Class A common stock.

We confirmed the filing on SEC EDGAR: an S-1 from Anthropic, PBC (CIK 0002130357), filed October 26, 2026, file number 333-299633.

What’s set and what isn’t

  • Anthropic plans to list on the Nasdaq Global Select Market under the symbol ANT.
  • The number of shares and the price range haven’t been set.
  • The registration statement isn’t effective yet, so no shares can be sold until it is.
  • Goldman Sachs and Morgan Stanley are named as the contacts for the preliminary prospectus.

Numbers from the filing

These figures come from the S-1 itself:

  • Revenue: $16.3 billion for the six months ended June 30, 2026, up from $1.2 billion a year earlier. Full-year revenue was $4.6 billion in 2025.
  • Operating loss: $693 million for the first half of 2026, down from $2.1 billion a year earlier.
  • Net loss: $80.7 billion for the first half of 2026. The filing attributes most of that to a $72.4 billion change in the fair value of convertible notes, derivative liabilities and SAFEs, not to day-to-day operations.

The prospectus also describes Anthropic’s governance as a public benefit corporation. Its Long-Term Benefit Trust holds a special Class T stock that can elect a majority of the board. A single Class F share, held by an LLC of the co-founders, would carry 50.1% of the vote on general stockholder matters.

The preliminary prospectus is incomplete and can change before the offering. Nothing here is investment advice.
